Welcome to the Terms and Conditions of Use for PraxiLabs. Please read the following terms and conditions of use carefully before accessing the website. By clicking “I agree”, accessing, or using the Platform you agree to be bound by this Agreement and the Privacy Policy. We may amend our Terms of Use or the Privacy Policy and may notify you when we do so. If you do not agree to the Terms of Use or the Privacy Policy please cease using our Platform immediately.

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: "Client", "You" and "Your" refers to you, the person log on this website and compliant to the Company’s terms and conditions. In addition, when the user of the service is provided access through a faculty and/or university or other organizations (an “Entity”), the term “You”, “your” and “Client” also includes this entity. "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company, PraxiLabs. "Party", "Parties", or "Us", refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of the provision of the Company’s stated services, in accordance with and subject to applicable law. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

User Information and Accounts

Users may be required to register on the Platform before accessing portions of the website. Your information will be collected and disclosed in accordance with our Privacy Policy. All users are required to provide truthful and accurate information when registering for our website. Users may only register for one account per user. We reserve the right to verify all user credentials and to reject any users. You are entirely responsible for maintaining the confidentiality of your password and account and for any and all activities that occur under your account. You agree to notify PraxiLabs immediately of any unauthorized use of your account or any other breach of security. PraxiLabs will not be liable for any losses you incur as a result of someone else using your password or account, either with or without your knowledge.

Access to the Service

After registering and properly paying where required, PraxiLabs grants to you a non-exclusive, non-transferable, revocable limited license to access the Platform and to use any of our services for your personal non-commercial, private or educative use. You agree not to use the Service for any commercial purposes, or to download, save, copy, transmit or distribute the content of the Service, including without limitation on any other website or networked computer environment, except as specifically allowed in this Agreement. As a user, you do not receive any ownership interest in any portion of the Platform; you merely receive the aforementioned revocable access and license as stated. All rights not explicitly granted are reserved for The PraxiLabs. If you breach any of our usage guidelines, as stated below, we may revoke your license or your access to use our Platform at our discretion. Additionally, we may revoke your license or restrict your access to our Platform if we believe that your actions may harm us, our business interests, or at our discretion.

Privacy Policy

We are committed to protecting your privacy. Information collected from you and any individual you provide access to use the Service is subject to PraxiLabs Privacy Policies. We will not sell, share, or rent your personal information to any third party or use your e-mail address for unsolicited mail. Any emails sent by this Company will only be in connection with the provision of agreed services and products. Before you continue using our website we advise you to read our privacy policy regarding our user data collection. It will help you better understand our practices.

Payments

Portions of the Platform or specific services offered may require payment and you agree to pay for all costs and fees listed. User authorizes PraxiLabs or its third party payment processors to charge their method of payment at the time of purchase. Please be aware that purchases are completed via our third party payment processors. Where applicable, you must agree to our third party payment processors terms and conditions for processing payments. All information that you provide in connection with a purchase or transaction must be accurate, complete, and current. Where you have failed to pay or where payments are overdue, PraxiLabs may suspend or terminate your access to any services of the Platform, without liability to us.

Pricing and Price Increases

The pricing for any services or Paid Subscriptions is listed on PraxiLabs’ Platform. PraxiLabs may increase the price of any Paid Subscriptions or services, at our discretion and we reserve the right to do so at any time. In the event of a price increase, PraxiLabs shall notify you and you will have the chance to accept or reject any price increase. Please notify us if you intend to reject a price increase. Where you have rejected a price increase, you may be unable to access portions of the Platform. You agree that PraxiLabs has no obligation to offer any services or Paid Subscriptions for the price originally offered to you at sign up.

Intellectual Property

Unless otherwise specified in writing, all materials that are part of the Service are owned, controlled, or licensed by PraxiLabs and its licensors and are protected by law from unauthorized use. The entire contents of the Service (including without limitation all visual content, audiovisual content, code, graphics, and text (including without limitation, exam and quiz questions) (the “Content”), and the arrangement, sequence, structure, and organization of the Service, are copyrighted under copyright laws and/or similar laws of other jurisdictions. In accordance with this agreement, you shall not copy, reproduce, distribute, modify, publish, distribute, sell, or otherwise exploit the Content without written permission from the Company and its respective owners. The technology and software underlying the Service or distributed in connection therewith is the property of PraxiLabs, our affiliates and our partners (the “Software”). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. PraxiLabs and PraxiLabs’ logos are trademarks of PraxiLabs and may not be used without the express written permission of PraxiLabs.

Content Collaborators

Any content that has been developed in collaboration with educators (“Collaborator Content”) within the Software, or any other source of content developed by PraxiLabs belongs to PraxiLabs and may not be appropriated for personal or commercial use. By collaborating on, developing or creating any Content in conjunction with The Company you hereby grant PraxiLabs and its affiliated companies a nonexclusive, worldwide, royalty-free, fully paid up, transferable, sublicenseable, perpetual, irrevocable license to copy, display, transmit, perform, distribute, store, modify and otherwise use your Collaborator Content in connection with the operation of the Service or the promotion, advertising or marketing thereof, in any form, medium or technology now known or later developed.

Third-Party Material

The Service may provide links to third-party sites and resources across the Internet. Opinions expressed or material appearing on such websites are not necessarily shared or endorsed by us and should not be regarded as the publisher of such opinions or material. Please be aware that we are not responsible for the privacy practices, or content, of these sites. We encourage our users to be aware when they leave our site & to read the privacy statements of these sites. The Company will not accept any responsibility for any loss or damage in whatever manner, howsoever caused, resulting from your disclosure to third parties of personal information.

Disclaimer

The information on PraxiLabs’ website is provided on an “as-is” basis. The Services, Content, Website and any Software of PraxiLabs and provided by any affiliates or any third party are provided without warranties of any kind, either express or implied, including, without limitation, direct loss, merchantability, fitness for a particular purpose, non-infringement or that use of The Services will be uninterrupted or error-free.

Limitation of Liability

Under no circumstances will PraxiLabs, its officers, directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, exemplary, or consequential damages, personal injury/wrongful death, lost or anticipated profits, lost data, or business interruption, the use or misuse of The Content in any way whatsoever arising out of the use of, or inability to use, The Service, whether or not PraxiLabs’ parties are advised of the possibility of such damages.

Termination

PraxiLabs reserves the right to terminate The Services for any reason, including, without limitation, for lack of use or if PraxiLabs believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Service. PraxiLabs may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You may cancel your Paid Subscription or your account at any time via your PraxiLabs dashboard or by contacting us. Any refunds are subject to the refund terms contained in the Refund Policy. Please be aware that upon termination of your account, access to portions of our Platform may be become immediately disabled.

Amendments

The Company reserves the right to change these conditions from time to time as it sees fit and your continued use of the site will signify your acceptance of any adjustment to these terms. When we amend this Agreement, we will update this page and indicate the date that it was last modified or we may email you. You are therefore advised to re-read this statement on a regular basis.

Electronic Communication

The communications between you and PraxiLabs use electronic means, whether you visit the Platform or send PraxiLabs e-mails, or whether PraxiLabs posts notices on the Platform or communications with you via mobile notifications or e-mail. For contractual purposes, you (1) consent to receive communications from PraxiLabs in an electronic form; and (2) agree that all terms, conditions, agreements, notices, disclosures, and other communications that PraxiLabs provides to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in writing.

Relationship of the Parties.

The parties are independent contractors. This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between you and The PraxiLabs.
